Terms of Service
Introduction
TillPal is two things. First, a free Point-of-Sale (POS) app that local shop owners use to manage inventory and sales. Second, a local marketplace at shop.tillpal.app where customers browse products from verified local stores, place orders, and get them delivered. These Terms of Service ("Terms") govern your access to and use of both, along with our apps, websites, and related services (the "Services").
These Terms apply to two types of users. "Merchants" are shop owners who use the POS and may apply to be listed on the marketplace. "Customers" are people who shop on the marketplace, place orders, and receive deliveries. Some sections apply to one group, some to both. We make this clear where it matters.
By accessing or using TillPal, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. Please read these Terms carefully. They set out your rights, your responsibilities, and the conditions under which TillPal provides the Services.
These Terms are a legal agreement between you and TillPal ("we", "us", or "our"). By continuing to use TillPal, you confirm that you have read and accepted them. If you use TillPal on behalf of a business, you confirm that you have the authority to accept these Terms for that business.
Eligibility
To use TillPal's Services, you must be at least 18 years old or the legal age of majority in your jurisdiction. By creating an account or using the platform, you confirm that you meet this requirement and have the legal capacity to enter a binding agreement.
This age requirement applies to everyone, including customers who shop on the marketplace and place orders.
If you are registering or using TillPal on behalf of a business, company, or organization, you represent that you have full authority to bind that entity to these Terms. In such cases, all references to "you" or "your" in these Terms refer to both you as an individual and the business entity you represent.
TillPal reserves the right to deny or suspend access to the Services to any user who does not meet these eligibility criteria or who violates any part of these Terms.
Account Responsibilities
To access certain TillPal features, you may be required to create an account. You are responsible for maintaining the accuracy, confidentiality, and security of your account information and credentials.
These responsibilities apply to every account:
- Provide accurate, complete, and up-to-date information during registration and while using the Services.
- Keep your login credentials (including passwords, tokens, or magic links) secure and confidential.
- Notify TillPal immediately if you suspect unauthorized access or activity on your account.
- Accept responsibility for all activity that happens under your account, whether you authorized it or not.
Merchant accounts
- Keep your business details, inventory, and pricing accurate, since other users rely on them.
- Control who on your team can access the POS, and remove access for staff who leave.
Customer accounts
- Keep your contact and delivery details correct so orders can reach you.
- Use your account only for your own orders and do not share your login with others.
TillPal will not be liable for any loss or damage resulting from your failure to comply with these account responsibilities.
Use of the Service
TillPal covers both the POS that merchants use to run their shops and the marketplace that customers use to order from local stores. To keep the platform safe and fair for everyone, all users must follow these rules:
- Merchants may use the POS for lawful retail operations, sales, and inventory management. Customers may use the marketplace to browse products and place genuine orders.
- Merchants must not misrepresent their inventory, pricing, or business identity on the marketplace. What you list and how you present your shop must be true.
- You may not misuse, reverse engineer, decompile, or try to gain unauthorized access to any part of the Services or infrastructure.
- You may not use bots, scrapers, or other automated systems to extract or interfere with TillPal's data or operations without prior written permission.
- You are responsible for making sure your use of TillPal follows all applicable laws, regulations, and third-party agreements.
- TillPal may limit or suspend any account whose use is excessive or abusive and harms system performance or other users.
TillPal may investigate and take appropriate action, including suspension or termination of access, if it determines that your use of the Service violates these Terms or any applicable laws.
Fees & Payments
TillPal does not sell subscriptions. The terms below explain what merchants pay and how customer payments work.
For merchants
- The POS is free to use. There are no subscription fees, monthly charges, or setup costs.
- TillPal charges a small commission on orders fulfilled through the marketplace. The applicable rate is shown within the platform and may be updated with notice.
- Once listed on the marketplace, you are responsible for fulfilling orders accurately and on time.
For customers
- Payments for marketplace orders are processed securely through TillPal's payment infrastructure.
- Prices shown are set by the merchant. TillPal is not responsible for pricing errors made by merchants.
- Order payments are collected at checkout. Refunds and cancellations are governed by the Refunds & Cancellations section below.
- TillPal does not store full card details. Payment processing is handled by a third-party provider.
Marketplace Conduct
These rules apply to anyone using the marketplace, so that both stores and customers can trust it.
For merchants
- Products you list must be accurate, in stock, and legally available for sale.
- You must fulfil orders you accept. Repeated failures to fulfil may result in removal from the marketplace.
- You must not list counterfeit, prohibited, or misrepresented products.
- Your store information, including name, location, and category, must be truthful.
For customers
- You must provide accurate delivery information.
- You may not place fraudulent or bad-faith orders.
- Raise any dispute about an order through TillPal support before taking any other action.
Verification & Listing
Before a shop appears on the marketplace, it goes through verification. This section explains how that works for merchants.
- Listing is not automatic: Merchants must request listing after a minimum period of active POS use. Using the POS does not place you on the marketplace by itself.
- In-person verification: TillPal operatives will visit your business location to verify it before approving the listing.
- Right to decline or remove: TillPal may decline or remove any listing that does not meet its quality or conduct standards.
- Periodic review: Verification does not guarantee permanent listing. TillPal reviews stores from time to time and may remove those that no longer meet standards.
Refunds & Cancellations
This section explains when an order can be cancelled and how refunds are handled.
- Cancelling an order: Customers may cancel an order before the merchant accepts it.
- After acceptance: Once an order is accepted and prepared, cancellation may not be possible.
- Refund eligibility: Refunds for undelivered or incorrect orders are assessed case by case by TillPal support.
- Processing timelines: TillPal acts as an intermediary. How long a refund takes depends on the payment provider.
Intellectual Property
TillPal's technology and content are the result of extensive design, engineering, and development efforts. This section clarifies how intellectual property rights are handled between you and TillPal.
- Ownership: All content, software, design elements, databases, and materials within TillPal are the exclusive property of TillPal or its licensors and are protected by copyright, trademark, and other applicable laws.
- Limited License: TillPal grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business operations in accordance with these Terms.
- Restrictions: You may not copy, modify, distribute, sell, or create derivative works based on any part of TillPal’s software, branding, or content without prior written consent.
- User Content: You retain ownership of the business data and content you upload to TillPal. By using the Services, you grant TillPal a limited right to process, display, and store your content as necessary to operate the platform.
- Trademarks: The TillPal name, logo, and associated marks are trademarks of TillPal. You may not use them in any way that implies endorsement, partnership, or affiliation without written authorization.
Nothing in these Terms transfers ownership of any intellectual property rights between you and TillPal. All rights not expressly granted to you remain reserved by TillPal.
Data Handling
TillPal is committed to protecting your business and customer data. This section explains how your information is handled when you use our platform.
- Data Ownership: You retain full ownership and control of all business data, records, and content you upload or generate through TillPal. We do not claim any rights to your data beyond what is required to provide our Services.
- Data Processing: TillPal processes your data only to operate, maintain, and improve the Services. This includes syncing data across devices, generating analytics, and enabling offline functionality.
- Third-Party Services: Certain features rely on trusted third-party providers such as Supabase or cloud storage platforms. These partners process data strictly in accordance with our Privacy Policy and applicable data protection laws.
- Local Storage: TillPal uses a local-first model, meaning your business data is stored securely on your device and synchronized with our servers through encrypted channels when online.
- Order Data: When you order on the marketplace, we collect and process order data, including your delivery address and order history, as described in the Privacy Policy.
- Privacy Policy: Our data collection, usage, and sharing practices are further detailed in the TillPal Privacy Policy, which forms part of these Terms.
By using TillPal, you consent to the processing of your data in accordance with our Privacy Policy and these Terms.
Termination
Both you and TillPal have the right to end this agreement under certain conditions. This section explains how termination works and what happens to your data and access afterward.
- User-Initiated Termination: You may terminate your TillPal account at any time through your account settings or by contacting our support team. Upon termination, access to your data and account features will be revoked.
- TillPal-Initiated Termination: TillPal may suspend or terminate your access to the Services if you violate these Terms, fail to pay required fees, or engage in fraudulent, abusive, or unlawful activity.
- Effect of Termination: Once terminated, your account data may be retained for a limited period as required by law or for legitimate business purposes, after which it will be securely deleted or anonymized.
- Marketplace Removal: Merchants removed from the marketplace for conduct violations may not re-apply without TillPal's approval.
- Continuing Obligations: Sections that by their nature should survive termination, including confidentiality, intellectual property, disclaimers, and limitations of liability, will remain in effect.
Termination does not relieve you of any outstanding payment obligations or liabilities incurred before the termination date.
Disclaimers & Limitation of Liability
TillPal is committed to providing a secure and dependable service, but certain limitations apply. This section outlines the extent of our responsibilities and the boundaries of liability under applicable law.
- Service Availability: TillPal strives to maintain continuous uptime and reliable performance but does not guarantee that the Services will be error-free, uninterrupted, or available at all times.
- No Warranty: The Services are provided on an 'as is' and 'as available' basis. TillPal disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Limitation of Liability: To the maximum extent permitted by law, TillPal shall not be liable for any indirect, incidental, consequential, or special damages arising from or related to your use of the Services, even if advised of the possibility of such damages.
- Liability Cap: TillPal’s total cumulative liability for any claim shall not exceed the total amount paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim.
- Platform Intermediary: TillPal is a platform intermediary, not the seller of goods listed by merchants. We do not warrant the quality, accuracy, or availability of any product a merchant lists.
- Indemnification: You agree to defend, indemnify, and hold harmless TillPal, its affiliates, employees, and partners from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Services.
Some jurisdictions do not allow limitations on implied warranties or the exclusion of certain damages. In such cases, these limitations will apply only to the extent permitted by law.
Governing Law & Jurisdiction
The following terms establish which laws govern this agreement and where any disputes will be resolved. These provisions ensure legal clarity for both you and TillPal.
- Applicable Law: These Terms and any disputes arising from or relating to your use of the Services shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including the Nigeria Data Protection Regulation (NDPR), without regard to its conflict of law principles.
- Jurisdiction: You agree that any legal action or proceeding between you and TillPal shall be brought exclusively in the competent courts located in Nigeria, and you consent to their jurisdiction.
- Dispute Resolution: Before filing any formal legal action, both parties agree to attempt in good faith to resolve any dispute through informal discussions or mediation.
If any provision of these Terms is found unenforceable under applicable law, the remaining provisions will remain valid and in full effect.
Changes to These Terms
TillPal may modify these Terms occasionally to ensure they remain clear, accurate, and compliant with applicable laws. When we do, we’ll make sure you’re informed of the changes.
- Notice of Changes: TillPal may update these Terms from time to time to reflect changes in our Services, legal requirements, or business operations. Any updates will include a revised 'Last Updated' date at the top of this page.
- Notification: For material updates, we will provide reasonable notice through in-app alerts, email, or by posting a prominent notice on our website before the new Terms take effect.
- Effective Date: All changes become effective on the date specified in the updated Terms. Continued use of the Services after that date constitutes your acceptance of the new Terms.
- Review Responsibility: You are responsible for reviewing these Terms periodically to stay informed about any updates that may affect your rights or obligations.
If you disagree with the revised Terms, you may stop using TillPal. Your continued access or use after the changes take effect will mean you accept the updated Terms.
