Partner Terms

These terms govern your participation in the TillPal Partner Programme. Please read them carefully before using the platform as a partner.

The Partnership

The TillPal Partner Programme is a commercial relationship between TillPal and your business. We provide the technology, tools, marketplace and operational services that help your business reach customers and fulfil orders. You remain an independent business and are responsible for the products you sell and the way your business operates.

Independent businesses. You and TillPal are independent parties. Joining the Partner Programme does not make you an employee, agent, franchisee, joint venture partner or legal representative of TillPal.

TillPal's role. TillPal provides the technology and services that support your participation on the platform, including your POS, marketplace presence, order management, customer payments and delivery operations. TillPal is not the seller of the products listed by your business.

Your role. You remain responsible for your business, including the products you sell, the accuracy of your prices and inventory, the quality and legality of your products, and your compliance with applicable laws and regulations.

Customer transactions. When a customer places an order for your products through TillPal, the sale is between the customer and your business. TillPal facilitates the transaction and the services needed to process and fulfil the order.

Other TillPal terms. These Partner Terms govern your relationship with TillPal as a partner. Other terms, policies or rules that apply to your use of TillPal's products and services may also apply.

When the agreement starts. These Partner Terms take effect when TillPal approves your business for the Partner Programme and continue until either you or TillPal ends the partnership in accordance with the termination section of these Terms.

Note

Our goal is to make the partnership straightforward: you run your business, while TillPal provides the tools and infrastructure that help you sell and serve customers through the platform.

Eligibility & Service Area

The Partner Programme is currently available to eligible businesses operating within areas served by TillPal. We may expand or change our service areas as the platform grows.

Eligible businesses. To become a TillPal partner, you must operate a legitimate business that is eligible to sell through the TillPal platform and meet any verification requirements we may reasonably request.

Business ownership. You must be the owner of the business or have appropriate authority to operate the business and enter into this agreement on its behalf.

Age requirement. The person entering into this agreement on behalf of the business must be at least 18 years old.

Legal compliance. Your business and the products you sell must comply with applicable Nigerian laws and regulations. You are responsible for obtaining and maintaining any licences, registrations or approvals required for your business or products.

Service area. Your business must be located within an area where TillPal currently provides partner services. Our available service areas may change as our operations expand, contract or develop.

Product restrictions. Some products cannot be sold through TillPal. This includes products that are illegal, prohibited by our policies, or subject to restrictions that TillPal is not currently able to support. We may provide or update a list of restricted product categories from time to time.

Verification. TillPal may request information or documents needed to verify your identity, business, location, bank account or eligibility. You agree to provide accurate and up-to-date information and to cooperate with reasonable verification requests.

Important

Being accepted as a TillPal partner does not replace any licence, registration or approval your business may be required to have under Nigerian law.

Commission & Fees

TillPal charges a commission on orders placed through the platform. This commission supports the technology, tools and services TillPal provides to help your business sell and fulfil orders through the platform.

Commission rate. Your commission rate will be between 3% and 5% of the gross value of each successfully completed order. Your specific rate will be communicated when your business is approved and will also be shown in your Partner Dashboard.

Different rates. Commission rates may vary by product category. The rate applicable to an order will be based on the rate communicated to you for the relevant category.

Changes to commission. TillPal may change applicable commission rates within the 3%–5% range by giving you at least 30 days' notice. Any new rate will be clearly communicated before it takes effect.

When commission is deducted. Commission is deducted from your available partner balance when your payout is processed. It is not separately charged at the time an order is placed.

What the commission covers. Your commission gives your business access to the services and infrastructure provided through the Partner Programme, including:

  • A TillPal POS system at no additional charge
  • Marketplace listing and storefront management
  • Order management and fulfilment infrastructure
  • Delivery operations and rider coordination
  • Customer payment processing
  • Platform hosting, maintenance and ongoing improvements

No current subscription fee. There is currently no monthly subscription, listing fee or setup fee for participating in the Partner Programme. If this changes in the future, TillPal will communicate the applicable changes before they take effect.

Marketplace pricing. You may not add a separate surcharge to an order solely to recover TillPal's commission. The prices displayed to customers through the marketplace should reflect the prices you have set for your products.

Note

The commission is the cost of using TillPal's marketplace, technology and operational infrastructure. You do not need to pay the commission separately or manage individual service charges for each part of the platform.

Payouts

Money collected from orders placed through TillPal is added to your partner balance and paid out according to the payout schedule you select. We aim to make payouts predictable and transparent, while recognising that final bank settlement can depend on the banking system.

Payout schedule. You can choose between a 3-day payout cycle or a weekly payout cycle from the options available in your Partner Dashboard.

Changing your payout cycle. You may change your selected payout cycle through the Partner Dashboard, subject to any notice period or processing requirements shown there.

Registered bank account. Payouts are sent to the NUBAN bank account registered with your TillPal partner account. You are responsible for ensuring that your bank details are accurate and kept up to date.

Account verification. TillPal may verify your bank account and account-holder details before processing payouts. If the information provided cannot be verified, a payout may be delayed until the issue is resolved.

Bank settlement times. TillPal initiates payouts by bank transfer, but the time it takes for funds to appear in your account may depend on interbank processing, banking hours, weekends, public holidays or other circumstances outside TillPal's reasonable control.

Payout adjustments. Your payout may be adjusted where there are amounts properly owed to TillPal under these Terms, such as applicable commission, previously communicated adjustments or other agreed charges.

Your taxes. You are responsible for understanding and meeting your own tax obligations arising from your business and the income you receive through TillPal.

Important

Please make sure your registered bank account details are correct. TillPal cannot be responsible for delays or failed transfers caused by incorrect or outdated information provided by you.

Order Handling & Fulfilment

When a customer places an order through TillPal, we notify your business and dispatch a rider to collect it. Your responsibility is to prepare each order accurately, ensure the products are in good condition, and check the order before handing it over.

New orders. When a customer places an order, TillPal will notify your business and dispatch a rider to your premises. Please begin preparing the order promptly rather than waiting for a separate confirmation.

Check before packing. Before sealing or handing over an order, check that every item matches the order, the quantities are correct, and all products are in suitable condition for sale. This check is an important part of your fulfilment responsibility.

Fulfilment errors. If an issue such as a wrong item, missing item, incorrect quantity, expired product, or unsuitable product is found to have originated during your preparation of the order, your business is responsible for the cost of resolving it. This may include the cost of a refund, replacement, or other resolution provided to the customer.

Collection check. At collection, the rider will check the prepared order against the order summary. Please cooperate with this check and raise any discrepancy before the package leaves your premises. Once the rider takes custody of the package, responsibility for its delivery and handling passes to TillPal, while responsibility for the accuracy and condition of the contents remains with your business.

Substitutions. If an ordered product is unavailable, do not substitute it with a different product without the customer's approval. Contact TillPal so that we can communicate the proposed substitution and obtain the customer's decision.

Unable to fulfil an order. If you are unable to fulfil an order, notify TillPal as soon as possible. Early notice gives us the best opportunity to inform the customer and avoid an unnecessary rider dispatch.

Repeated fulfilment issues. If your business develops a consistent pattern of fulfilment errors, cancellations, or other issues that affect customers, TillPal will contact you to discuss the problem and work with you towards a resolution. Persistent issues may result in restrictions or suspension of your marketplace access.

Note

Please check every order before handing it to the rider. A quick final check helps prevent mistakes, protects your business from avoidable costs, and gives customers a better experience.

Inventory & Product Accuracy

Your TillPal POS is the source of the product and inventory information displayed through the marketplace. Keeping this information accurate helps customers know what is available and helps orders move smoothly.

Accurate inventory. You are responsible for keeping your inventory up to date. Products should only be shown as available when you reasonably expect to have them in stock and ready to fulfil.

Product prices. You are responsible for setting and maintaining your product prices in the TillPal POS. Marketplace prices are based on the information provided through your POS.

Product information. Product names, descriptions, quantities, measurements, images and other information you provide should be accurate and should not mislead customers.

Out-of-stock products. If a product is no longer available, you should update your inventory promptly so that customers are not able to place orders for products you cannot fulfil.

Expired or near-expiry products. You are responsible for removing expired products and products that are too close to their expiry date from your available inventory in good time. Products should not remain available for marketplace orders when there is a reasonable risk that they will reach the customer expired or unsuitable for sale.

Product condition. Products offered through TillPal must be genuine, safe, fit for sale and within their stated condition and expiry period. Expired, damaged, adulterated or counterfeit products must not be listed or supplied.

Restricted products. You must not list or sell products that are prohibited by Nigerian law or by TillPal's applicable product policies.

Your responsibility. You are responsible for the accuracy and legality of the products and information you provide. TillPal may remove or restrict a listing where there is a reasonable concern about its accuracy, legality, safety or compliance.

Note

Please keep your inventory current and remove expired or near-expiry products before they become available for customer orders. This helps prevent avoidable fulfilment problems and protects the customer experience.

Product Quality & Condition

Customers expect products purchased through TillPal to be genuine, safe and in the condition described. As the business selling the product, you are responsible for making sure the products you supply meet those expectations.

Product quality. Products supplied to customers must be genuine, safe, fit for their intended use and of the quality reasonably expected from the product description.

Product condition. You must not supply products that are expired, damaged, adulterated, contaminated or otherwise unsuitable for sale.

Accurate descriptions. Products should match the descriptions, quantities, sizes, weights, images and other information shown to customers.

Regulated products. If your business sells products that are subject to additional laws, licences or regulatory requirements, you are responsible for complying with those requirements and maintaining any approvals needed to sell them.

Pharmacy and health products. Businesses selling medicines or other regulated health products are responsible for complying with all applicable Nigerian requirements, including requirements relating to licensing, storage, dispensing and product safety.

Product-related complaints. If a customer raises a concern about the quality, safety, authenticity or condition of a product, TillPal may contact you for information and work with you to understand and resolve the issue.

Responsibility for your products. You remain responsible for the products you sell through TillPal and for complying with the laws and regulations that apply to those products and to your business.

Note

Please do not sell expired, counterfeit, damaged or unsafe products through TillPal. Protecting customers also protects your business and the trust people place in the platform.

Delivery Responsibility & Fault

TillPal coordinates delivery through its rider network. Responsibility for an order changes at the point where the prepared package is handed to the rider, and we use the collection check to help determine what happened if an issue is later reported.

Before collection

Partner responsibility. Before the rider collects the order, you are responsible for preparing the order accurately and packaging it appropriately for delivery.

Collection check. The rider will check the prepared order against the order summary at the point of collection. You and the rider are expected to cooperate with this check and raise any obvious discrepancy before the package leaves your premises.

After collection

Handover point. TillPal's responsibility for the delivery begins when the rider takes custody of the prepared package at your premises.

Delivery issues. If a customer reports an issue after collection, TillPal will review the available information to determine whether the issue is more likely to have resulted from the order or packaging before collection, or from handling and delivery after collection.

Good-faith review. TillPal will make this determination in good faith using the information reasonably available, which may include the order details, collection check, communications, photographs and other relevant information.

When fault is unclear. Sometimes it may not be possible to clearly determine where an issue occurred. In those cases, TillPal will discuss the situation with the partner and work towards a fair resolution. No automatic deduction will be made solely because responsibility cannot immediately be established.

Customer communication

Order-related issues. TillPal handles customer-facing communication relating to marketplace orders. If a customer contacts you directly about an order issue, please direct them to TillPal Support so that the matter can be handled consistently.

Note

The collection check protects everyone. If something is missing or incorrect, raising it before the rider leaves makes it much easier to determine what happened and resolve the issue fairly.

Refunds & Customer Disputes

TillPal manages customer refund requests and order-related disputes on behalf of the marketplace. We aim to resolve issues fairly, using the information available and involving the partner whenever their input or action is needed.

Customer requests. Customers may contact TillPal about refunds, missing items, incorrect orders, damaged products or other issues relating to an order placed through the marketplace.

TillPal manages the process. TillPal will manage customer-facing communication and coordinate the resolution of order-related disputes so that customers receive a consistent experience.

Partner involvement. Where a resolution requires information or action from your business, TillPal will contact you directly. This may include situations involving a replacement, partial fulfilment, product information or clarification about how an order was prepared.

Working towards a resolution. You agree to cooperate reasonably with TillPal when investigating and resolving customer complaints relating to your orders. We will aim to resolve issues fairly and without unnecessary disruption to your business.

Direct customer requests. If a customer contacts you directly about an order placed through TillPal, please direct them to TillPal Support rather than making a separate refund or other commitment outside the platform.

Important

Keeping order issues within TillPal Support helps us give customers a consistent experience and ensures that you and TillPal have the same information when resolving a dispute.

Brand, Conduct & Platform Integrity

TillPal works best when partners, customers and riders can interact respectfully and confidently. We ask partners to represent their businesses honestly and use the platform fairly.

Using the TillPal name. You may tell customers that your business is available on TillPal and may use approved partner materials provided by TillPal for that purpose.

TillPal branding. You must not copy, modify or use TillPal's logo, trademarks or other brand assets in a way that suggests you own, operate or officially represent TillPal. Any use of TillPal brand assets beyond approved partner materials requires our permission.

Honest representation. You must not claim that your business is owned by, operated by, endorsed by or otherwise part of TillPal beyond the relationship described in these Terms.

Respectful conduct. You and your staff are expected to treat TillPal customers, riders and staff respectfully. Threatening, abusive, discriminatory or harassing behaviour is not acceptable.

Fair use of the platform. You must use TillPal honestly and for genuine business activity. You must not create fake orders, manipulate transactions, submit misleading information, artificially influence reviews or ratings, or otherwise attempt to gain an unfair advantage on the platform.

Protecting platform integrity. You must not deliberately interfere with TillPal's systems, processes or operations, or attempt to bypass controls designed to protect customers, partners or the platform.

Your staff and representatives. You are responsible for making sure that people acting on behalf of your business understand and follow the requirements that apply to your business under these Terms.

Important

We do not expect every interaction to be perfect. We do expect problems to be handled honestly and respectfully, with the aim of resolving them rather than escalating them.

Data, POS & Customer Information

TillPal provides the POS and technology used to manage your products, inventory and orders. Because the platform processes information about your business and your customers, both TillPal and its partners have responsibilities when handling that information.

Your business data

Your business information. Information you provide about your business, products, inventory and operations remains information about your business. TillPal uses it to provide, operate, maintain and improve the services you use.

Platform operations. TillPal may use information generated through the POS and marketplace to operate the platform, improve its services, understand demand, identify operational issues and develop features and tools for partners.

Aggregated information. TillPal may use aggregated or anonymised information derived from platform activity for analytics, demand forecasting, product development and supplier or market insights. Information shared for these purposes will not identify your business or individual customers unless otherwise permitted by applicable law or agreed with you.

Business confidentiality. TillPal will not publicly disclose your individual sales performance or share identifiable business sales information with other partners simply because they participate on the platform.

Customer information

Using customer information. Customer information made available to you through an order should only be used for purposes connected with fulfilling and supporting that order, unless another use is permitted by applicable law or authorised by TillPal.

No unauthorised marketing. You must not use customer names, phone numbers, addresses or other personal information obtained through TillPal to send independent marketing messages, build separate customer lists, or promote services outside TillPal without an appropriate legal basis and any required permission.

Protecting customer information. You should take reasonable steps to protect customer information available to your business and only allow authorised staff to access it when needed to fulfil or support an order.

Leaving the platform. Customer information obtained through TillPal must not be used to deliberately move customers away from TillPal or encourage them to complete future transactions outside the platform.

Privacy and compliance

Data protection. Both parties agree to handle personal information in accordance with applicable Nigerian data-protection requirements and any applicable TillPal privacy policies.

Data incidents. If you become aware of a loss, unauthorised disclosure or other security incident involving customer information obtained through TillPal, you should notify TillPal as soon as reasonably practicable and cooperate with any steps needed to protect affected customers.

Important

Customer information is provided to help fulfil TillPal orders, not to create a separate marketing database. Please only use customer information for legitimate purposes connected to the TillPal service.

Suspension & Termination

We want partnerships to work for the long term. Where problems can reasonably be fixed, TillPal will generally work with the partner to resolve them before restricting or ending access. Serious risks to customers, riders or the platform may require faster action.

Suspension

Immediate suspension. TillPal may suspend a partner account without prior notice where there is verified fraud, the sale of prohibited or counterfeit goods, or conduct that presents an immediate risk to customers, riders, staff or the integrity of the platform.

Performance or quality concerns. For issues such as repeated fulfilment problems, product-quality concerns or other operational performance issues, TillPal will generally contact the partner, explain the concern and give the partner a reasonable opportunity to address it before suspension is considered.

Operational support. Where possible, TillPal will work with the partner to understand the cause of an issue and agree on practical steps to improve the situation.

Orders already in progress. If an account is suspended, orders already in progress will generally continue to be fulfilled where it is safe and practical to do so. Where the suspension relates to verified malicious or unsafe conduct, TillPal may stop affected orders and manage customer communication and resolution directly.

Ending the partnership

Partner termination. You may end your partnership with TillPal by giving the required notice through the method made available by TillPal. Any orders already accepted or in progress should still be handled appropriately unless TillPal instructs otherwise.

TillPal termination. TillPal may end the partnership by giving you 14 days' notice. TillPal may also end the partnership sooner where immediate termination is permitted under these Terms.

Final payout. After the partnership ends, TillPal will process any remaining amount properly owed to you through the normal payout process, subject to any valid adjustments or amounts already owed under these Terms.

After termination. Ending the partnership does not remove obligations that are intended to continue after termination, including obligations relating to outstanding payments, confidentiality, customer information, intellectual property and dispute resolution.

Important

Our preference is to fix problems rather than end partnerships. Immediate suspension is intended for serious situations where waiting could put customers, riders, partners or the platform at risk.

A Non-Exclusive Partnership

Your partnership with TillPal is non-exclusive. We want TillPal to be useful to your business, but we do not require you to sell exclusively through our platform.

Your other sales channels. You are free to sell your products through other channels, platforms, marketplaces, physical stores or other businesses. TillPal makes no claim over your business or sales that do not come through the TillPal platform.

Your TillPal orders. Orders placed through TillPal remain subject to these Partner Terms and the processes that apply to TillPal orders, even if you also sell through other channels.

Other businesses on TillPal. TillPal operates a multi-merchant marketplace and may work with other businesses selling similar products or operating in the same area. Your partnership does not give you exclusive access to a product category, customer group, location or marketplace.

No guaranteed sales. Joining TillPal does not guarantee any minimum number of orders, customers or sales. The number and value of orders you receive may vary depending on customer demand, availability, location and other factors.

Note

We don't ask you to choose between TillPal and the other ways you do business. Our goal is to give you another useful channel for reaching customers and growing your business.

Events Outside Our Control

Sometimes circumstances outside either party's control can make it difficult or impossible to provide or use TillPal services as normal. Neither party should be treated as having breached these Terms simply because of such an event.

Events outside our control. Neither party will be considered in breach of these Terms where they are unable to perform an obligation because of circumstances genuinely outside their reasonable control.

Examples. These circumstances may include natural disasters, flooding, fire, fuel shortages, civil unrest, protests, widespread network or telecommunications outages, power or infrastructure failures, government restrictions, or other events that could not reasonably have been prevented or avoided.

Notification. The affected party should notify the other party as soon as reasonably practicable when such an event materially affects their ability to meet their obligations.

Resuming normal operations. Once the circumstances have passed or conditions reasonably allow, the affected party should resume its obligations as soon as practicable.

Note

This is intended to protect both sides when genuine circumstances outside their control affect normal operations. It does not excuse avoidable or ordinary operational problems.

Liability & Responsibility

Both TillPal and our partners have responsibilities under this agreement. Each party is responsible for losses or claims arising from matters within its reasonable control, subject to applicable law.

Your business. You are responsible for your business, including the legality, safety, quality and accuracy of the products you sell through TillPal and the information you provide about them.

TillPal's services. TillPal is responsible for providing the platform and services described in these Terms with reasonable care. We will make reasonable efforts to keep the platform and related services available, but uninterrupted availability cannot always be guaranteed.

Service interruptions. TillPal will not be responsible for losses caused by circumstances outside its reasonable control, including third-party network failures, banking disruptions, infrastructure failures, or temporary platform outages. This does not prevent TillPal from taking reasonable steps to restore affected services.

Customer actions. TillPal is not responsible for losses caused directly by a customer's fraudulent, misleading or unlawful actions. Where a dispute arises, TillPal will make reasonable efforts to investigate and help resolve the matter.

Your responsibility to TillPal. You are responsible for claims, losses or costs arising from your unlawful conduct, your products, or your breach of these Terms, to the extent permitted by applicable law.

Limits on liability. To the extent permitted by applicable law, TillPal's total liability to a partner arising from the Partner Programme will not exceed the commission paid by that partner to TillPal during the three months immediately preceding the event giving rise to the claim.

Legal rights. Nothing in these Terms is intended to exclude or limit liability where doing so would not be permitted under applicable Nigerian law.

Important

The purpose of this section is to set reasonable boundaries around responsibility, not to remove legitimate rights or responsibilities that either party has under Nigerian law.

Governing Law & Disputes

We hope issues can be resolved quickly and directly. If a disagreement arises between you and TillPal, both parties should first make a genuine effort to resolve it through communication before moving to a formal dispute process.

Governing law. These Partner Terms are governed by the laws of the Federal Republic of Nigeria.

First step. If you have a concern or disagreement with TillPal, please contact us first and explain the issue. We will make a reasonable effort to understand the matter and work towards a practical resolution.

Good-faith resolution. Where appropriate, both parties should attempt to resolve a dispute in good faith through discussion before starting formal proceedings.

Formal disputes. If a dispute cannot be resolved through discussion, either party may pursue the formal dispute-resolution options available under Nigerian law.

Nothing limits legal rights. Nothing in these Terms prevents either party from taking any action or seeking any remedy that cannot lawfully be excluded under applicable Nigerian law.
